Part 1 — General Terms

1. Acceptance of Terms

Welcome to Aruday ("Aruday", "Platform", "Company", "we", "our", or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Aruday governing your access to and use of the website, mobile applications, APIs, software, products, subscriptions, AI-powered services, communication tools, and all related services offered through Aruday.

By creating an account, accessing, browsing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Refund Policy, Community Guidelines, and any additional policies published by Aruday. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Definitions

  • "Account" means a registered user profile created on Aruday.
  • "Candidate" or "Job Seeker" means any individual seeking employment, internships, freelance work, projects, or career opportunities.
  • "Employer" means any company, organisation, partnership, LLP, proprietorship, government entity, recruiter, consultant, educational institution, or individual posting opportunities.
  • "Recruiter" means a person or organisation authorised to recruit candidates.
  • "Freelancer" means a person offering independent professional services through the Platform.
  • "Services" means all digital products, subscriptions, AI tools, profile services, resume services, networking features, communication tools, analytics, and any other functionality made available by Aruday.
  • "Content" includes text, photographs, videos, audio, graphics, resumes, job descriptions, reviews, AI-generated outputs, comments, messages, and all other material uploaded, posted, generated, or transmitted through the Platform.
  • "Applicable Law" means all laws, regulations, notifications, judicial decisions, and governmental requirements applicable to these Terms.

3. Eligibility

3.1 You represent and warrant that you have the legal capacity to enter into a binding contract under applicable law.

3.2 You must provide accurate, complete, and up-to-date information while registering and while using the Platform.

3.3 If you register on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3.4 Aruday reserves the right to refuse registration or suspend any account that does not satisfy eligibility requirements.

3.5 Certain services may require identity verification, business verification, educational verification, or additional documentation before access is granted.

4. Account Registration

4.1 Users may be required to create an account to access certain features.

4.2 During registration, users may be required to provide full name, email address, mobile number, password, location, professional information, and business details (where applicable).

4.3 Users are solely responsible for maintaining the confidentiality of login credentials.

4.4 Users must immediately notify Aruday if they suspect unauthorised access to their account.

4.5 Aruday may require verification of email addresses, mobile numbers, business information, educational qualifications, or identity documents before enabling certain features.

4.6 Aruday may reject, suspend, or deactivate accounts that contain inaccurate, misleading, fraudulent, or incomplete information.

5. Account Security

5.1 Users are responsible for all activities conducted through their accounts.

5.2 Users shall not share passwords, allow unauthorised access, create multiple accounts to evade restrictions, misrepresent their identity, or use another person's credentials.

5.3 Aruday may implement additional security measures including OTPs, multi-factor authentication, device verification, login alerts, identity verification, and business verification.

5.4 Aruday may temporarily suspend access if suspicious, fraudulent, or abnormal activity is detected.

6. User Obligations

By using Aruday, you agree that you will comply with all applicable laws, provide truthful and accurate information, maintain updated profile information, use the Platform only for lawful purposes, respect the rights of other users, maintain confidentiality of information obtained through the Platform, and not misuse the Platform or attempt to disrupt its operation.

You further agree that you shall not: create fake accounts; post fraudulent job opportunities; upload false resumes or qualifications; use bots, scripts, scraping tools, or automated software without written authorisation; upload malware, ransomware, spyware, or malicious code; attempt to gain unauthorised access to any systems; circumvent security controls; harvest user data; send spam or unsolicited commercial communications; impersonate another person or organisation; infringe intellectual property rights; defame, harass, threaten, or abuse other users; publish unlawful, obscene, discriminatory, hateful, or offensive content; engage in phishing, scams, money laundering, or fraudulent financial schemes; promote pyramid schemes, multi-level marketing programmes, or deceptive business opportunities unless expressly permitted by Aruday.

Violation of these obligations may result in immediate suspension or permanent termination of your account without prior notice, in addition to any other legal remedies available to Aruday.

7. Electronic Communications

By creating an account or using the Platform, you consent to receive communications from Aruday electronically, including by email, SMS, in-app notifications, WhatsApp (where applicable), or other digital means for account administration, security, transactional updates, service announcements, and marketing communications where permitted by law. You may opt out of non-essential promotional communications using the options provided, but you cannot opt out of communications that are necessary for the operation, security, or administration of your account.

8. Modifications to the Terms

Aruday may revise these Terms from time to time. Updated versions will be published on the Platform with a revised effective date. Continued use of the Services after such changes become effective constitutes your acceptance of the revised Terms.

Part 2 — User-Specific Terms, Verification & Platform Integrity

9. Job Seeker Terms

9.1 Accuracy of Information. You shall provide only true, accurate, current, and complete information including educational qualifications, employment history, experience, skills, salary details, certifications, licenses, and identity information. Uploading fake or misleading information may result in immediate suspension or permanent removal from the Platform.

9.2 Resume Responsibility. You are solely responsible for the content of your resume. Aruday does not verify every qualification, certification, experience, achievement, award, publication, recommendation, or employment claim made by users. Employers must independently verify candidate credentials before hiring.

9.3 Job Applications. Submission of an application does not guarantee interview calls, employer response, employment, internship, freelance work, salary package, or selection. Aruday only facilitates communication between users.

9.4 Interview Responsibility. Users are responsible for attending interviews, maintaining professionalism, joining interviews on time, carrying necessary documents, and verifying employer authenticity. Aruday is not responsible for cancelled interviews or recruitment decisions.

9.5 Candidate Conduct. Job Seekers shall not apply using fake profiles, harass recruiters, misuse employer information, demand money from employers, use abusive language, upload copyrighted content without permission, or impersonate another individual.

10. Employer Terms

Employers represent and warrant that they are legally authorised to recruit, possess authority to publish vacancies, all job postings are genuine, and recruitment complies with applicable labour and employment laws.

10.1 Job Posting Rules. Job advertisements must be accurate, lawful, non-discriminatory except where legally permitted, clearly specify eligibility criteria, and clearly disclose whether positions are permanent, contractual, internship, apprenticeship, freelance, or temporary.

10.2 Prohibited Job Listings. The following are prohibited: fake jobs, pyramid schemes, money circulation schemes, MLM opportunities unless expressly permitted, illegal employment, adult content, gambling activities, human trafficking, escort services, cryptocurrency scams, loan fraud, investment fraud, data harvesting jobs, and jobs requiring illegal payments from candidates. Aruday may immediately remove such listings without notice.

10.3 Employer Responsibilities. Employers are responsible for candidate screening, interview process, background verification, offer letters, employment contracts, payroll, tax compliance, and labour law compliance. Aruday is not a party to employment contracts.

10.4 No Circumvention. Employers shall not circumvent subscription plans, misuse candidate information, sell candidate data, or transfer candidate information without lawful authority.

11. Recruiter Terms

Recruiters agree that they possess valid recruitment authority, candidate information shall remain confidential, recruiter accounts may be verified by Aruday, and recruiters shall comply with privacy obligations. Recruiters may not sell resumes, share candidate databases, publish misleading vacancies, or collect candidate payments.

12. Freelancer Terms

Freelancers acknowledge that they operate independently, are responsible for taxes, determine pricing, and negotiate contracts independently. Aruday is not responsible for project quality, project completion, payment disputes, scope changes, intellectual property disputes, delays, or client satisfaction. Users should execute separate written contracts where appropriate.

13. Educational Institutions

Educational institutions using Aruday agree that information published is accurate, courses comply with applicable regulations, advertisements are genuine, and placement claims are truthful. False placement statistics may result in account suspension.

14. Business Verification

Aruday may verify GST registration, CIN, PAN, MSME registration, Shop Act registration, business licenses, educational accreditation, and professional registrations. Verification is conducted for trust enhancement and does not constitute a guarantee of legitimacy or financial soundness.

15. Identity Verification

Aruday may request Aadhaar (where legally permissible), PAN, Passport, Driving Licence, Voter ID, Employee ID, or business registration documents. Failure to provide requested verification may limit access to certain features.

16. Profile Visibility

Users may choose profile visibility settings where available. However, applying to a job automatically shares relevant profile information with that employer, public profile features may be indexed by search engines unless restricted, and recruiters may discover profiles according to user-selected visibility preferences.

17. Platform Communications

Aruday may facilitate messaging, interview scheduling, notifications, and other communications. Users agree that communications may be monitored for fraud detection, security, abuse prevention, and legal compliance, subject to applicable law. Harassment, threats, abusive language, and spam are prohibited.

18. Fake Jobs & Fraud Prevention

Aruday actively works to detect fraudulent activity but cannot guarantee that every listing or user is genuine. Users should independently verify employer identity, company existence, offer letters, salary promises, interview locations, and payment requests. Never transfer money to secure a job unless you have independently verified the legitimacy of the request. Any suspected fraud should be reported immediately to support@aruday.com.

19. AI-Powered Matching

Aruday may use Artificial Intelligence to recommend jobs, recommend candidates, improve search relevance, analyse resumes, suggest skills, rank profiles, provide interview preparation, generate summaries, and offer career guidance. AI-generated recommendations are based on available information and algorithms and do not guarantee suitability, hiring outcomes, employment, interviews, business success, or any particular result. Users should exercise independent judgment before relying on AI-generated suggestions.

20. Platform Role

Aruday acts solely as a technology platform that facilitates interactions between users. Unless expressly stated otherwise, Aruday is not an employer, an employee, a recruitment agency, a staffing agency, a labour contractor, a payroll provider, a guarantor of user identity, or a party to employment or freelance contracts. All hiring, engagement, contractual, and payment decisions remain the sole responsibility of the parties involved.

Part 3 — Payments, Intellectual Property, Liability & Legal Terms

21. Paid Services, Subscriptions & Premium Features

21.1 Aruday may offer paid services including premium memberships, resume writing and enhancement services, AI-powered career tools, featured job postings, employer subscription plans, recruiter subscription plans, resume database access, advertising services, digital products, verification services, and training and career development services.

21.2 Prices are displayed on the Platform and may change at any time. Revised prices shall apply prospectively and shall not affect purchases already completed unless expressly stated.

21.3 Applicable taxes, including GST where required by law, shall be charged separately unless stated otherwise.

21.4 Subscription fees are payable in advance and are non-transferable.

21.5 Certain subscriptions may automatically renew if the user has expressly opted into auto-renewal. Users may disable auto-renewal before the next billing cycle through their account settings where available.

22. Payment Terms

22.1 Payments may be processed through authorised third-party payment service providers.

22.2 Aruday is not responsible for failures, delays, reversals, or interruptions caused by banks, payment gateways, UPI providers, card issuers, telecom operators, or other third parties.

22.3 A transaction shall be treated as successful only upon confirmation from the payment service provider.

22.4 In the event of pricing, technical, or typographical errors, Aruday reserves the right to cancel or correct affected transactions and, where appropriate, issue a refund.

23. Refund & Cancellation

23.1 Refund requests must be submitted by emailing support@aruday.com within three (3) calendar days from the date of purchase.

23.2 No refund requests shall ordinarily be accepted after the expiry of the three-day period, except where a refund is required under applicable law.

23.3 Approval of any refund is subject to verification by Aruday. Submission of a request does not create an automatic entitlement to a refund.

23.4 Where approved, refunds may be calculated on a proportionate basis after deducting the value of services already provided or consumed, including subscription period already utilised, resume or profile services already delivered, AI credits or premium features consumed, job postings already published, candidate contact unlocks, resume database access already used, administrative charges, payment gateway charges, applicable taxes, and promotional benefits or discounts already availed.

23.5 Refunds shall generally not be available in cases including change of mind, failure to secure employment or projects, failure to receive interview calls, employer or candidate dissatisfaction with outcomes, user inactivity, incorrect information provided by the user, suspension or termination for breach of these Terms, duplicate purchases caused by user negligence, customised services after work has commenced, or digital content already accessed or downloaded.

23.6 Approved refunds shall normally be processed to the original payment method within a reasonable processing period, subject to banking timelines.

24. Intellectual Property

24.1 The Platform, including its software, source code, trademarks, logos, graphics, design, text, databases, AI systems, compilations, and other proprietary material, is owned by or licensed to Aruday and is protected by applicable intellectual property laws.

24.2 Except as expressly permitted, users shall not copy, modify, reverse engineer, decompile, distribute, sell, lease, license, reproduce, publicly display, or exploit any part of the Platform.

24.3 "Aruday" and related branding are proprietary marks. Their use without prior written permission is prohibited.

25. User-Generated Content

25.1 Users retain ownership of the content they lawfully upload.

25.2 By uploading content to the Platform, users grant Aruday a non-exclusive, worldwide, royalty-free licence, for the duration necessary to operate the Services, to host, store, reproduce, process, display, transmit, adapt (solely for technical compatibility), and distribute such content as required to provide and improve the Services.

25.3 Users represent that they have all necessary rights to upload such content and that doing so does not infringe the rights of any third party.

25.4 Users remain solely responsible for the content they submit.

26. Copyright Complaints

If you believe that content on Aruday infringes your copyright or other intellectual property rights, you may submit a written notice to support@aruday.com containing your name and contact details, identification of the protected work, identification of the allegedly infringing material, a statement that you have a good-faith belief that the use is unauthorised, and a declaration that the information provided is accurate and that you are authorised to act on behalf of the rights holder. Aruday may investigate such notices and take appropriate action, including removal or disabling access to the content where warranted.

27. Account Suspension & Termination

Aruday may suspend, restrict, or terminate any account, with or without prior notice where permitted by law, including where a user violates these Terms, provides false information, engages in fraudulent activity, creates fake accounts, posts unlawful or misleading content, uploads malicious software, misuses the Platform, attempts unauthorised access, abuses other users, uses automated tools without authorisation, initiates fraudulent chargebacks, or engages in activity that may harm Aruday, its users, or its reputation. Termination shall not affect rights or obligations that accrued prior to termination.

28. Disclaimers

28.1 The Services are provided on an "as is" and "as available" basis.

28.2 To the fullest extent permitted by law, Aruday does not warrant that the Platform will operate without interruption or error, job listings are accurate, complete, or genuine, candidates possess the qualifications they claim, employers will hire candidates, users will obtain employment, interviews, freelance work, business opportunities, or any particular outcome, or that AI-generated outputs will always be accurate, complete, or suitable. Users should exercise independent judgment and verify information before relying on it.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Aruday shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages, including loss of profits, business, goodwill, data, reputation, opportunities, or anticipated savings arising from or relating to the use of the Services. Where liability cannot be excluded under applicable law, Aruday's aggregate liability shall, to the extent permitted by law, be limited to the amount actually paid by the user to Aruday for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such claim. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

30. Indemnification

Users agree to indemnify, defend, and hold harmless Aruday, its affiliates, directors, officers, employees, agents, and service providers from and against claims, liabilities, losses, damages, costs, and reasonable legal expenses arising out of or relating to breach of these Terms, violation of applicable law, infringement of third-party rights, user-generated content, fraudulent conduct, or negligence or wilful misconduct.

31. Force Majeure

Aruday shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, pandemics, strikes, internet failures, cyberattacks, governmental actions, power outages, or failures of third-party service providers.

32. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. The parties shall endeavour to resolve disputes amicably. If a dispute cannot be resolved through good-faith discussions, it shall be referred to arbitration in accordance with the applicable arbitration laws of India. Unless otherwise agreed, the seat and venue of arbitration shall be Indore, Madhya Pradesh, and the proceedings shall be conducted in English. Subject to applicable law and the arbitration clause, courts having jurisdiction at Indore, Madhya Pradesh shall have jurisdiction over matters arising from these Terms.

33. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

34. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between the user and Aruday regarding the use of the Services.
